These Terms of Service ("Terms") govern your access to and use of neurogrid.in (the "Website") operated by NeuroGrid Labs ("NeuroGrid", "we", "us"), headquartered in Ahmedabad, Gujarat, India. By accessing the Website you agree to be bound by these Terms. If you do not agree, please do not use the Website.

02About NeuroGrid Labs

NeuroGrid Labs develops AI-powered decision intelligence platforms that help enterprises transform operational data into strategic decisions. The Website provides information about our company, platform, and services.

03Use of the Website

You may use the Website for lawful, informational, and business evaluation purposes. You agree not to:

• Attempt to gain unauthorized access to any systems, accounts, or data.
• Interfere with or disrupt the Website's operation, security, or availability.
• Scrape, harvest, or systematically extract content or data without written permission.
• Use the Website to transmit malicious code or unlawful material.
• Misrepresent your identity or affiliation when contacting us.

04Platform Access and Enterprise Agreements

Access to the NeuroGrid Decision Intelligence Platform is provided exclusively under a separately executed master service agreement, order form, and data processing agreement ("Enterprise Agreement"). In the event of any conflict between these Terms and an Enterprise Agreement, the Enterprise Agreement prevails for Platform use.

05Intellectual Property

The Website and all content — including text, graphics, logos, the NeuroGrid name and mark, dashboards, visualizations, software, and design — are owned by or licensed to NeuroGrid Labs and protected by intellectual property laws of India and other jurisdictions. No license is granted except the limited right to view the Website for its intended purpose.

06AI Outputs and No Professional Advice

Content on the Website, including illustrative dashboards, simulated scenarios, metrics, and AI-generated recommendations, is provided for informational and demonstration purposes only. It does not constitute financial, legal, investment, or other professional advice.

Platform outputs are decision-support tools. Final business decisions, and responsibility for them, rest solely with the customer and its leadership.

07Confidentiality

Any non-public information exchanged during sales discussions, evaluations, or pilots is confidential and may be used only for the purpose of evaluating or providing the services, unless otherwise agreed in writing.

08Disclaimers

The Website is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components.

09Limitation of Liability

To the maximum extent permitted by law, NeuroGrid Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or business opportunity — arising out of or related to your use of the Website. Our aggregate liability arising out of the Website shall not exceed one thousand Indian Rupees (INR 1,000). Liability in connection with the Platform is governed exclusively by the applicable Enterprise Agreement.

You agree to indemnify and hold harmless NeuroGrid Labs, its officers, employees, and agents from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Website.

The Website may contain links to third-party websites. NeuroGrid does not control and is not responsible for the content, policies, or practices of any third-party site.

12Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Website shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.

We may revise these Terms from time to time. The updated version will be posted on this page with a revised "last updated" date, and takes effect upon posting. Your continued use of the Website constitutes acceptance of the revised Terms.
